Item 7.01 Regulation FD Disclosure.

     On July 28, 2006, Dawson Geophysical Company (the “Company”) issued a press release announcing that it plans to publicly release its financial results for the quarter ended June 30, 2006, the Company’s third quarter of fiscal 2006, before the market opens on Tuesday, August 1, 2006. In addition, the Company announced that an investors’ conference call to review the third quarter results will be held on Tuesday, August 1, 2006, at 9:00 a.m. Central Time.

     A copy of the press release is furnished as an exhibit to this Current Report.
